Eligibility and verification
Who can invest?
Our offerings are made under Rule 506(c) of Regulation D, so only accredited investors whose status has been verified may invest.
What is an accredited investor?
Generally, an individual with income over $200,000 in each of the last two years ($300,000 with a spouse or spousal equivalent) and a reasonable expectation of the same this year, or a net worth over $1 million excluding a primary residence, or a holder of a Series 7, 65, or 82 license in good standing. Certain entities and trusts also qualify.
What is a 506(c) offering?
Rule 506(c) is an SEC exemption that allows a private offering to be advertised publicly, as long as every investor is an accredited investor and the issuer takes reasonable steps to verify that status.
How is my accredited status verified?
Typically by reviewing documents such as tax returns or bank and brokerage statements, or by a written confirmation from your CPA, attorney, or registered investment adviser. We'll explain the process before you invest.
I'm not accredited. Can I still invest?
Not at this time. Our current offerings are open only to verified accredited investors. You're welcome to attend our free educational webinars.
Investing
What is the minimum investment?
The minimum is $100,000 for Omega Property Fund LLC and for the Devonshire Lake Dallas offering, unless the offering documents state otherwise.
Can I invest with my IRA or 401(k)?
Often, yes, through a self-directed IRA held by a custodian that allows private real estate investments. Talk with your custodian and tax advisor first; retirement-account investments have special rules.
Are returns guaranteed?
No. Private real estate investments carry risk, including the possible loss of your entire investment. Any projections in offering materials are estimates, not promises.
Can I get my money out early?
Generally no. These are illiquid, long-term investments, and our current offerings don't offer redemptions. Plan to hold for the full term described in the offering documents.
How are distributions paid?
Distributions, if any, are paid as described in each offering's documents. They are not guaranteed and can be reduced or suspended.
What fees does Omega charge?
Fees vary by offering and are described in each offering's documents. In a fund-of-funds structure, there are fees at both the Omega level and the underlying operator's level.
What tax documents will I receive?
Investors in these offerings typically receive a Schedule K-1 each year. Consult your tax advisor about your situation.
